1. Definitions
- “Licensor” means the University and its faculty/researchers who authored the Software.
- “Software” means the source code, object code, and associated documentation made available under this License.
- “Use” means to copy, modify, distribute, or perform the Software, and specifically includes the exercise of all copyright and patent rights held by the Licensor in the Software.
- “Commercial Use” means any use of the Software by a for-profit entity or any use intended for commercial advantage or monetary compensation.
2. Grant of Rights
Subject to the terms of this License, Licensor hereby grants you a non-exclusive, royalty-free, worldwide license to Use the Software for non-commercial, academic, and research purposes only.
3. Restrictions
The following activities are strictly prohibited:
- Commercial Use: You shall not engage in Commercial Use of the Software or any derivative works.
- Managed Service: You shall not provide the Software as a managed service or hosted platform to third parties.
- Synthetic Cleanroom (No Circumvention): You shall not use the Software, its outputs, or its internal architecture to train, fine-tune, or otherwise “cleanroom” a functional equivalent for the purpose of bypassing these license restrictions.
4. Reservation of Rights
Licensor reserves all rights not expressly granted. This License does not grant any rights to Licensor’s trademarks, trade secrets, or the use of the University’s name for endorsement purposes.
5. Exclusion of Liability
THE SOFTWARE IS PROVIDED “AS IS.” TO THE EXTENT PERMITTED BY LAW, THE LICENSOR AND ITS FACULTY SHALL HAVE NO LIABILITY FOR ANY DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THE SOFTWARE.
6. Governing Law and Venue
This License shall be governed by the laws of the State of Maryland. Any legal action or proceeding related to this License shall be brought exclusively in the state or federal courts located in Baltimore, Maryland. ```
